Project

Schedule
The work is expected to begin on July 7, 2021 and will end on June 30, 2022. The CREWS Leader will work approximately 5-8 hours per week and additional hours as needed by Oakland Promise. Some evenings and weekend hours may be required. The College Completion Advising Coordinator will be your direct supervisor. A performance review will be conducted regularly.
Location
The primary work location for the CREWS Leader will be their campus. However, CREWS leaders may travel for different events, meetings, or training (August, December, and January).
Payment
Oakland Promise will pay the CREWS Leader an annual sum of $3,000 in 4 installments for the 2021-2022 academic year.

Policies, Ownership and Licenses
While performing the job, all CREWS Leaders are required to review and adhere to Oakland Promise personnel policies. CREWS Leaders will be expected to perform their duty in an effective and professional manner. These duties must be performed to Oakland Promise's satisfaction and Oakland Promise will determine the adequacy of performance.
Termination
This contract will be terminated on June 30, 2022. This contract is "At Will". Either party may end this contract for any reason by sending an email or letter to the other party, informing the recipient that the sender is ending the contract and the contract will end in 7 days. The contract officially ends once that time has passed. The CREWS Leader must immediately stop working as soon as they receive this notice, unless the notice says otherwise. Oakland Promise will pay the CREWS Leader for the work done up until when the contract ends and will reimburse the CREWS Leader for any agreed-upon, non-cancellable expenses.
Independent Contractor
Oakland Promise is hiring the CREWS Leader as an independent contractor.
  1. The CREWS Leader is not entitled to Oakland Promise's benefits (e.g., group insurance, retirement benefits, retirement plans, vacation days).
  2. The CREWS Leader is responsible for its own taxes.
  3. The Oakland Promise will not withhold social security and Medicare taxes or make payments for disability insurance, unemployment insurance, or workers compensation for the CREWS leader or any of the CREWS Leaders' employees or subcontractors.
Ownership and Licenses
  1. Oakland Promise owns All Work Product. As part of this job, the CREWS Leader is working on the tasks listed above in the job description for Oakland Promise. The Oakland Promise is the sole proprietor of the work product. this means the CREWS Leader is giving Oakland Promise all rights, titles, and interests in and to the work product (including intellectual property rights), and Oakland Promise will be the sole owner of it. 
  2. CREWS Leader Use of Work Product. Once the CREWS Leader delivers the work product to Oakland Promise, the CREWS Leader does not have any rights to is, except those that Oakland Promise explicitly gives the CREWS Leader here. 
  3. Authority to Sign. Each party promises to the other party that it has authority to enter into this contract and to perform all its obligations under this contract.
  4. Client Will Review Work. Oakland Promise promises to review the work product, to be reasonably available to the CREWS Leader, if the CREWS Leader has questions regarding this project, and to provide timely feedback and decision.
Limitation of Liability
Neither party is liable for breach-of-contract damages that the breaching party could not reasonably have foreseen when it entered this contract.

INDEMNITY

Overview

This section transfers certain risks between the parties if a third party sues or goes after the Oakland Promise or the CREWS Leader or both. For example, if the CREWS Leader gets sued for work performed by the Oakland Promise then the CREWS Leader must agree to come to Oakland Promise's defense or reimburse the Oakland Promise for any losses.

Client Indemnity

In this contract, the CREWS Leader agrees to indemnify the Oakland Promise (and its affiliates and its and their directors, officers, employees, and agents) from and against all liabilities, losses, damages, and expenses (including reasonably attorneys' fees) related to a third-party claim or proceeding arising out of: (i) the work the CREWS Leader has done under this contract; (ii) a breach by the CREWS Leader of its obligations under this contract.

CREWS Leader Indemnity

In this contract, the Oakland Promise agrees to indemnify the CREWS Leader (and its affiliates and its and their directors, officers, employees, and agents) from and against liabilities, losses, damages, and expenses (including reasonable attorneys' fees) related to a third-party claim or proceeding arising out of a breach by the Oakland Promise of its obligations under this contract.
