TERMS AND CONDITIONS: WAIVER
The undersigned agrees and acknowledges the Agreement with the INSTITUTE with regard to participating on camera at the Living Future Conference (April 20-23, 2021).
A) Recording Waiver
INDIVIDUAL grants the INSTITUTE the necessary permissions and rights to transcribe, reproduce, and distribute video, photo or recordings of the INDIVIDUAL and presentation in complete or partial form for the purposes of the INSTITUTE, provided that the original intent and content is not substantially altered. INDIVIDUAL authorized the use of their name in connection with these recordings, and the use, reproduction, and exhibition of their likeness and voice to be used for any purpose that INSTITUTE deems appropriate. INDIVIDUAL agrees to release ILFI from all claims or damages arising from or related to the use of these recordings.
B) Content License Grant INDIVIDUAL hereby grants to the Institute and its affiliates, agents, employees, and assigns the right to film, record, photograph, and otherwise capture INDIVIDUAL'S image and voice in any media at the [Living Future 2021] (the “Recordings”). INDIVIDUAL hereby grants to Institute and its affiliates, agents, employees, and assigns an irrevocable, perpetual, nonexclusive, worldwide, transferable, sublicensable , and royalty-free right and license to use, modify, reproduce, publish, distribute, display, translate and transmit, for promotional, marketing and other legitimate purposes relating to Institute’s business, all or any part of the Recordings without INDIVIDUAL’s prior review or approval, and without compensation to Individual, provided that the original intent and content is not substantially altered]. Institute may edit and modify the Recordings and use them alone or together with any other materials or information, in its exercise of the license granted in this Section [1].
C) Permitted Uses. Without limiting the license granted in Section [1], and by way of example not limitation, Institute may use the Recordings and Speaker Content for:
1. ticketed re-broadcasts of the Living Future 2021(in whole or in part);
2. advertising and promotional projects, including printed materials, presentations, film, audio and video presentations, commercials, catalogues, brochures, magazines, websites (and other online, digital or electronic publications and applications), promotional greeting cards and promotional postcards, press releases, prints, and posters; and
3. entertainment applications, including books and book covers, magazines, newspapers, editorials, newsletters, and video, broadcast, and theatrical presentations.
D) Indemnification
Each party agrees to indemnify, defend and hold harmless the other, their officers, directors, partners, agents and employees from any and all claims, loss, damage or expense (including attorney's fees) arising from the negligence or willful misconduct of the indemnifying party, its agents and employees in the performance of its duties and responsibilities under this Agreement.
E) Law and Venue
This agreement contains all of the terms agreed upon by the parties with respect to the subject matter of this agreement and supersedes all prior agreements, arrangements, and communications between that parties concerning such subject matter. This agreement shall be binding upon execution by both parties and inure to the benefit of both parties and their successors and assigns. This Agreement may not be altered by either party without the express written consent of both parties. All representations made in this agreement shall survive the termination of this Agreement.
ACCEPTANCE
To accept this agreement, the INDIVIDUAL must complete all sections of this Agreement and sign this electronic no later than April 22, 2021.
