Legal Clinic: Bylaws Review

Does your arts nonprofit have bylaws? Interested in having an attorney review and update your bylaws? LCA and the law firm of Katten Muchin are hosting a Bylaws & Governance Legal Clinic! Making sure your bylaws represent your organization and the way you operate is important to nonprofit compliance and mitigating risk. At this in-person legal clinic, we’ll help organizations document the process requirements for their board decision-making that comply with Illinois law and make sense to the founders and board.

Application Requirements:
This is a free clinic but to participate you must apply and be eligible to attend.  To be eligible you must:
  1. Be incorporated as an arts nonprofit in Illinois, 
  2. Have at least 3 unrelated individuals on the organization’s board of directors, 
  3. Have 501(c)(3) status or are in the process of applying for c3 status, 
  4. Have at least two people from the organization (at least 1 attendee must be a board member of the organization) able to attend a 4-hour clinic at a downtown Chicago location on June 10th from 11AM-3PM.  Lunch will be provided. 
Participation is limited to 10 organizations.

Applications are due June 1, 2025 by 11:59PM.

Note
This clinic is designed for organizations with existing bylaws that require revision or updates. Please note that it does not cover the creation of bylaws from scratch.
Upon receipt of your application and determination of eligibility, LCA will contact you. At that point, we will provide the application to Katten for acceptance in the clinic. Once your application has been approved by both LCA and Katten, we will notify you about the location, etc. At that time, we will also provide you with some questions to answer or at least consider before the clinic and some documents we will need you to provide copies of in order to make the most of your time with the Katten attorneys. Your answers to those questions and the documents you send will help the attorneys draft bylaws tailored to your organization’s specific needs. Please block off the time for the clinic (June 10, 2025 from 11AM-3PM) on your board member attendees’ calendar immediately.
